These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and EL Software Services LLC ("Company", "we", "us", or "our") governing your access to and use of our websites, applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" refer to both you individually and that organization.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use our Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Our Services include web and mobile applications developed, operated, and maintained by the Company. We reserve the right to modify, suspend, or discontinue any aspect of the Services, temporarily or permanently, at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes. • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to the Services;
• Interfere with or disrupt the integrity or performance of the Services;
• Engage in any fraudulent, deceptive, or misleading activity;

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing content and suspending or terminating accounts.

Certain Services may require payment of fees. By subscribing to or purchasing a paid Service, you authorize us (or our third-party payment processors) to charge the applicable fees to your designated payment method. All fees are stated in the currency specified at checkout and are exclusive of applicable taxes unless otherwise noted.

Subscriptions may automatically renew for successive periods equal to the initial subscription term unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team; cancellation will take effect at the end of the current billing period.

We reserve the right to change our pricing at any time. Any price changes will apply to billing cycles after we provide notice of the change.

Refund eligibility, where applicable, is determined at our discretion or as required by applicable law. To request a refund, please contact our support team at support@elsoft.services with your order details. Approved refunds will be issued to the original payment method within a reasonable timeframe.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, software, and the compilation thereof, are the exclusive property of the Company or our licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms shall be construed as granting you any license or right to use any trademark, logo, or service mark of the Company without our prior written consent.

If the Services allow you to submit, upload, or share content ("User Content"), you retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, and display such content solely for the purpose of operating and improving the Services. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable law.

Our Services may contain links to or integrations with third-party websites, products, or services that are not owned or controlled by the Company. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES. IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO THE COMPANY, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if we believe, in our sole discretion, that you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time in our sole discretion. We will notify you of material changes by posting the updated Terms on this page and revising the "Last updated" date above. Your continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and the Company concerning the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
